This annual company law reference work, sets out the relevant texts of the most important statutes, statutory instruments and European legislation, as well as certain FSA regulations. This 15th edition includes the relevant secondary legislation made under the Financial Services and Markets Act 2000. Other significant developments include: Companies Act 1985 (Electronic Communications) Order 2000, amending the Companies Act 1985 to enable companies to use electronic communications in certain circumstances; Trustee Act 2000 (creating wider powers of investment for trustees, replacing more restrictive provisions contained in the Trustee Investments Act 1961); Insolvency Act 2000, amending the Insolvency Act 1985 and the Company Directors Disqualification Act 1986 (provides for a moratorium for small companies in financial difficulty to draw up a Voluntary Arrangement to put to creditors; for disqualification of directors to be achieved administratively by way of agreement between the directors and the DTI instead of thorough the courts; enables regulations to be made to give effect to the United Nations Commission on International Trade Law (UNCITRAL) model law on cross-border insolvency); Limited Liability Partnerships Regulations 2001 (and the Scottish equivalent) providing for a new form of legal entity (the limited liability partnership); Consolidating Council Directive on securities listings.

Thorough, functional!5
This book is full of legal statutes. It is consequently quite boring, though extremely useful for advanced study of company law. There is also a student handbook also by Butterworths which is about a third of the price, this may suit some better.

This book is just what it says it is in its title - a Company Law Handbook. If you are expecting a book that you can read cover to cover detailing how company law works then you will be disapointed. But if you are realistic and expect it to be a reference guide to Company Law Acts and Bills, you will love it! It is a brilliant reference book and is a great companion to anyone trying to learn the fundaments of various Acts and Bills.
