This is the best-selling practical guide for company directors, fully updated to reflect the new Companies Act. The new Companies Act is the longest Act ever and has wide-ranging implications for directors of all companies, large and small, public and private. The Act received Royal Assent in November 2006; there is a transition period and it will come fully into force in 2008 but all company directors need to grasp the significant changes to the law now. This new edition covers all the changes made by the Act with guidance on their implications for directors and action to be taken. Major changes include: directors need to be very aware of some crucial changes to the law which significantly increase their liabilities, eg: previously a director could not be liable for a wrong decision, if made in good faith - now shareholders can instigate legal action against any director for any action or omission which in their opinion has damaged the company."Thorogood Desktop Guides" are a practical source of reference, guidance, techniques and best practice - packed with checklists, charts, do's and don'ts, summaries, special tips and case studies.

Editorial Reviews
Review
"I have come across many books that have purported to cover similar ground, but most fail by being either too simplistic to be of practical value, or too academic and wordy to sustain the attention of the reader. The Desktop Guide succeeds where its rivals fail, by focusing on the details that matter to directors. It is an excellent guide to what you are letting yourself in for, if you accept that tap on the shoulder."Robin Chew, Accounting Technician Magazine

Customer Reviews
Well written and informative
I have recently become a company director, as a freelance computer consultant. Although the book is aimed at larger, corporate directors, there is a lot of good information for the small businesses to learn from. Overall, well worth the small price.
A good starting point for Limited Company directors
The desktop guide is written in an easy to read way, guiding the novice as well as seasoned professionals through the maze of legislation and bureacracy that confronts any company director. This guide is particularly handy for IT contractors and small businesses, since most will have had little prior experience at running a Limited Company, and much of the guide is relevant for the small businessman. Some sections will not be relevant for many smaller businesses, but a recommended read all the same.
